Sales Contract

This Sales Contract (hereinafter referred to as the “Contract”) is made effective as of [Order Date] by and between AQ Gimel Cosmetics (hereinafter referred to as the “Seller”), with a principal place of business located at Unit 3 Building 5 Shenglong International Area B Zhengzhou China, and [Buyer’s Name on Order] (hereinafter referred to as the “Buyer”), residing at [Shipping Address on Order]. The Seller and Buyer may collectively be referred to as the “Parties” or individually as a “Party.”

1. Sale of Goods

The Seller agrees to sell, and the Buyer agrees to purchase, the following goods (hereinafter referred to as the “Goods”):

• Description of Goods: As per Order
• Quantity: As per Order
• Price: As per Order

2. Payment Terms

2.1 The total purchase price for the Goods shall be as per Order (hereinafter referred to as the “Purchase Price”).

2.2 Payment shall be made by the Buyer via Credit/Debit Card, PayPal, or Bank Transfer at the time of placing the order on the Seller’s e-commerce platform.

2.3 The Seller shall not be obligated to deliver the Goods until payment has been received in full.

3. Delivery

3.1 The Seller agrees to deliver the Goods to the Buyer at the following address: [Shipping Address on Order].

3.2 In principle, the delivery time shall not exceed 15 working days after the design draft is confirmed. In case of special circumstances such as out of stock, the delivery time shall be subject to subsequent negotiation.

3.3 The risk of loss for the Goods shall pass to the Buyer upon delivery to the Buyer’s specified address.

4. Inspection and Acceptance

4.1 The Buyer shall inspect the Goods immediately upon receipt and shall notify the Seller within 30 days of delivery if the Goods are damaged or do not conform to the specifications set forth in this Contract.

4.2 If the Buyer fails to notify the Seller within the specified period, the Buyer shall be deemed to have accepted the Goods.

5. Warranties

5.1 The Seller warrants that the Goods shall be free from defects in material and workmanship for a period of 1 year from the date of delivery.

5.2 The Buyer’s exclusive remedy for breach of this warranty shall be the repair or replacement of the defective Goods at the Seller’s option.

6. Return and Refund Policy

6.1 The Buyer may return the Goods within 15 days of delivery, provided the Goods are unused, in their original packaging, and in resalable condition.

6.2 The Buyer shall be responsible for the cost of return shipping unless the Goods are defective or not as described.

6.3 Customized products are not refundable or exchangeable in principle.

6.4 Upon receipt and inspection of the returned Goods, the Seller shall issue a refund to the Buyer within 30 business days.

7. Insurance

7.1 Insurance Coverage: The Buyer has the option to purchase insurance for the Goods during the checkout process.

7.2 If Insurance is Purchased:

• The Seller shall insure the Goods for their full replacement value against loss or serious damage(The damage rate exceeds 50%) during transit. The cost of this insurance is included in the insurance fee paid by the Buyer.
• In the event of loss or serious damage to the Goods during transit, the Buyer must notify the Seller within 30 days of delivery.
• The Seller will handle all claims with the insurance provider. The Buyer agrees to cooperate with the Seller and provide any necessary information required to process the claim.
• If the Goods are determined to be lost or seriously damaged during transit, the Seller will resend the Goods at no additional cost to the Buyer.

7.3 If Insurance is Not Purchased:

• In the event that the Goods are lost or detained by customs, the Seller will refund 50% of the total order amount, including shipping costs.
• The Seller will not resend the Goods in these cases.
• The Buyer must notify the Seller within 30 days if the Goods have not arrived within the expected delivery timeframe.

8. Limitation of Liability

8.1 The Seller’s liability under this Contract shall be limited to the Purchase Price of the Goods.

8.2 The Seller shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the sale of the Goods.

9. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.

10. Dispute Resolution

Any disputes arising out of or in connection with this Contract shall be resolved through Arbitration/Mediation in accordance with the rules of the Zhengzhou Arbitration Commission.

11. Entire Agreement

This Contract constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and representations, whether oral or written, with respect to the subject matter hereof.

12. Acceptance of Terms

Successfully placing an order online at www.aqgimel.com means you agree to all the terms in this Contract.
